Disclaimers and Warranties

2. Service Availability

Excluded Damages

Maximum Liability

In no event shall our total liability to you for all damages, losses, and causes of action exceed the amount paid by you to Prismwell in the twelve months preceding the claim, or ₹10,000, whichever is less.

Indemnification

You agree to indemnify, defend, and hold harmless Prismwell, its officers, directors, employees, agents, licensors, and suppliers from and against all losses, expenses, damages, costs, claims, and demands, including reasonable legal fees, arising from or related to:

Legal Matters and Dispute Resolution

These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any legal action or proceeding arising under these terms shall be brought exclusively in the courts located in Kolkata, West Bengal, and you consent to the personal jurisdiction of such courts.

2. Dispute Resolution Process

In the event of any dispute arising from these terms or your use of our services, you agree to first attempt to resolve the matter informally by contacting us directly. We are committed to working with you in good faith to reach a mutually acceptable resolution.

3. Arbitration

If informal resolution is unsuccessful, disputes may be resolved through binding arbitration in accordance with the rules of the Indian Arbitration and Conciliation Act. The arbitration shall take place in Kolkata, West Bengal, and shall be conducted in English.

4. Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Termination

We reserve the right to suspend or terminate your access to our services at any time, with or without cause, and with or without notice. Grounds for termination may include violation of these Terms and Conditions, fraudulent or illegal activity, failure to pay fees, or conduct that we determine to be harmful to other users or to our business.

Upon termination, your right to use our services will immediately cease. All provisions of these terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification obligations, and limitations of liability.

General Provisions
